About this job As Junior Company Secretary you will be accountable for the support of the efficient administration of JUMO, particularly with regard to ensuring compliance with statutory and regulatory requirements and for ensuring that decisions of the board of directors and senior leadership are implemented. This position will be based in South Africa, and you will report to the Company Secretary. You will Provide guidance for the board on their powers and responsibilities. Additionally, ensuring that all directors are aware of all laws and regulations relevant to JUMO. Hold ownership of subsidiary board and committee meetings. This includes helping to prepare the schedule of the board, committee and shareholder meetings, as well as preparing agendas in collaboration with ExCo and the chairperson, and ensuring that all the relevant parties attend where needed and that related information is shared to enable preparation for these meetings. Take minutes of board and committee meetings, and distribute these minutes to directors and ensure that any special resolutions passed are properly registered with the relevant authorities. Ensure that board policies and instructions are communicated to the relevant team members and that issues from senior leadership are referred back to the board. Develop a strong relationship with the chairperson, and assist the chairperson in creating priorities in the board agenda for consideration by the board. Play a supporting role in the induction of new directors, and identify training requirements for senior leadership and ensure that there is an ongoing programme to keep senior leadership well informed of developments in the company. Ensure that directors and senior leadership operate in line with an authority framework approved by the board. Support in ensuring that statutory deadlines are met and that regulatory disclosures are validated, particularly in regards to statements given on corporate governance standards at JUMO. Remain updated on developments in corporate governance and ensure that directors and senior leadership adhere to the highest government standards. This includes monitoring international developments on corporate governance, and bringing this to the board’s attention when necessary. Take responsibility for circulars and documentation sent to the boards by the company, and ensure that directors clearly understand the implications of any statements of responsibility given on behalf of the board. Ensure that JUMO complies with all statutory provisions, legislation or regulations critical to the nature of the company, and with JUMO’s own memorandum and articles of association, including the effecting of any changes to meet the needs of JUMO. Support the secure and safe custody of all contracts and agreements and that an executive summary for each document is maintained for ease of reference. Work closely with the Company Secretary for Group, as well as local supporting company secretaries across the group to oversee group wide corporate governance and ensure the entities are in good standing. Certify annual financial statements, registers and KYC of JUMO that are kept, and have been lodged in accordance with relevant legislation. Ensure all letterheads, notices and other official JUMO documentation and publications display the correct information. Capabilities Act with tact and discretion at all times, and avoid conflict of interests to ensure that appropriate guidance can be given to board members. Excellent verbal and written communication skills, with the ability to articulate and share information in a way that is easy to comprehend. Remain updated on developments in corporate governance. Strong Minute drafting skills. Excellent interpersonal skills and ability to forge strong working relationships, with people at all levels, internally and externally. The ability to prioritise work and remain adaptable, and able to work under pressure in a constantly changing environment. Able to work, and stay motivated and accountable, in a remote-first work environment. Strong knowledge of corporate governance issues, and a commercial mindset. Good analytical and problem-solving skills, able to solve complex challenges by considering implications and alternatively, with the capability to work with numerical information. Meticulous attention to detail and a well-organised work approach. You will need LLB degree or Company Secretary Qualification. Accreditation with a chartered governance institution (e.g. CGISA, CGI) or similar. 3+ years of experience in providing company secretarial support (or similar experience), preferably from a strong in-house position. Strong demonstrable experience in working with stakeholders, board directors and ExCo members. Bonus if you have Experience working within the financial services sector.
